SoftwareLicenseAgreementThisAgreementismadeandenteredintobyandbetweenNuctechCompanyLimited(hereinafterreferredtoasLicensor”andCompany(hereinafterreferredtoasLicensee").WhereasLicensoristheowneroftheSoftware;WhereasCompanydesirestoobtainfromNuctechanon-exclusiveandnon-transferablelicensetousetheSoftwareinaccordaneewiththetermsandconditionssetforthinthisAgreement.Now,therefore,bothPartieshereofagreeasfollows:1. Definition:InconstruingthisAgreement,thefollowingwordsandexpressionsshallhavethemeaningsherebyassignedtothem,uniesstheiruseinthecontextisinconsistentwithsuchmeanings:A. Licensor"meansNuctechCompanyLimited(Nuctech);B. Licensee"meansCompany;C. Software”means,developedandprovidedbyLicensor,forSystem;D. System”meansSystem;E. GrantofLicenseLicensorherebygrantstoLicensee,anon-transferable,non-exclusivelicensetousethesoftware,onthetermsandconditionssetforthherein.Nootherlicense,expressedorimplied,isgrantedexceptasspecificallyprovidedherein.3. RestrictiononUseLicenseemayusetheSoftwareonlyontheSystemasspecifiedinthisAgreement;LicenseeshallusetheSoftwareonlyinconnectionwithitsinternaloperations,andshallnotofferorsupplytheuseoftheSoftwaretoothersunderanycircumstanee.Noothersoftwarecanbeinstalled,operated,orconfiguredontheSystemuniessLicenseereceivespriorwrittenapprovalbyLicensor.ThisincludesoperatingorapplicationsoftwarethatmaybeavailablefromLicensorthatisnotcoveredbythisLicenseAgreement.4. RestrictiononCopyingLicenseeshallmakenocopiesoftheSoftware,oranypartthereof,andthepermittedSoftwareshallbestoredinasecuremannerandbeclearlymarkedwiththeLicens'osrcopyright.5. RestrictiononTransferLicenseeshallnotsell,assign,sublicense,transfer,orotherwisemakeavailabletheSoftware,exceptasmaybepermittedbythisAgreementandonlywithwrittenpriorconsentbyLicensor.6. ReservedRightsTheIntellectualPropertytotheSoftwareincludingthetechnicaldataanddocumentationoranysubsequentdevelopmentandmodificationthereofshallbeandremaininLicensor,andnotitletoorownershipofortechnologytransferoftheSoftwareoranyportionthereofisconveyedortransferredtotheLicenseehereby.LicenseeacknowledgestheSoftwareconstitutesconfidentialandproprietaryinformationandtradesecretsofLicensor,whetherornottheSoftware,oranyportionofit,isormaybecopyrightedorcopyrightable，andthatdisclosureoftheSoftwaretoLicenseeisonthebasisoftheconfidentialrelationshipbetweenLicenseeandLicensorunderthisAgreement.7. RestrictiononDisclosureExceptasexpresslypermittedherein,LicenseeshallnotdiscloseorotherwisemakeavailabletheSoftware,oranyportionthereof,toanythirdpartyortoanyemployeeofLicenseewhoisnotofnecessityauthorizedbyLicenseetousetheSoftwareinLicensee'sbusiness.LicenseeshalltakeallreasonablestepsnecessarytoinsuretheSoftware,oranyportionthereof,isnotdisclosedorotherwisemadeavailablebyLicensee(oremployeesofLicensee)toanythirdparty.8. WarrantyLicensorwarrantsithastherighttograntthelicensehereingranted,andforaperiodofoneyearfromthedateofacceptanceoftheSoftware,theSoftwarewillperformsubstantiallyinthemannersetforthinthespecifications.Licensor'ssoleobligationunderthiswarrantyshallbetocorrectorreplaceanySoftwarefoundtobedefectivefromnormalusage.Thiswarrantyisexpresslyinlieuofallotherwarranties,expressorimplied,includingbutnotlimitedto,theimpliedwarrantiesofmerchantabilityandfitnessforaparticularpurpose.LicensordoesnotwarrantthattheSoftwareand/oritsassociateddocumentation,ifany,willmeetlicensee'srequirements,beerrorfree,oroperatewithoutinterruption,andlicenseeassumestheentireriskastoitsqualityandperformance.Innoeventwilllicensorbeliableforspecial,incidental,orconsequentialdamages(including,withoutlimitation,damagesforlossofbusinessprofits,businessinterruption,lossofbusinessinformationorotherpecuniaryloss)eveniflicensorhasbeenadvisedofthepossibilitythatsuchdamagesmayarise.9. CopyrightIndemnityLicensoragreesthatitwill,atitsownexpense,defendanyactionbroughtagainstLicensee,andindemnifyLicenseeagainstanyawardofdamagesandcostsmadeagainstLicenseebyafinaljudgmentofacourtofcompetentjurisdictioninanysuchaction,insofarasthesamearebasedonaclaimthattheSoftwareusedwithinthescopeofthelicensehereingrantedconstitutesaninfringementofanycopyright;providedLicenseeshallhavegivenLicensorpromptnoticeinwritingoftheclaimandinstitutionofsuchaction,andpermitsLicensor,throughitscounsel,todefendthesameandgiveLicensorallreasonablyavailableinformation,assistanceandauthoritytoenableLicensortosodefendandfurtherprovided,thatLicensor'sliabilityhereunder,ifany,shallbestrictlyandsolelylimitedtotheamountofroyaltieswhichwouldbepayableinrespecttorevenuesderivedbyLicensorfromLicenseefromsalesoftheinfringinggoods.Licensorshallhavecontrolofthedefenseofanysuchactionincludingappeals,andofallnegotiationsthereof,includingtherighttoeffectanysettlementorcompromise.IncasetheSoftwareis,inanyaction,heldtoconsti。
