Bangkok 10110, ThailandHereinafter referred to as the “Party A” 在下文中称为“甲方”Party B: RMB Provider: (乙方:人民币供应方)Name 姓名Representative By 代表Passport Number 护照号码Nationality 国籍Address 地址Hereinafter referred to as the “Party B” 在下文中称为“乙方”WHEREAS, “Party A” confirms with full personal authority and legal responsibility, that he is ready, willing and able to provide genuine, USD, clean and clear and none of criminal origin, to “Party B” and provides his Bank Deposit Account, with Banking details attached hereto as Appendix A.鉴于“甲方”已完全的充分的已证实的授权和法律责任已做好准备,愿意和能够提供真实的、干净的和洁净的没有犯罪来源的美元 给“乙方”,并提供银行存款账户。

如附录A 所附的银行座标WHEREAS, “Party B” confirms with full corporate authority and legal responsibility, that he is ready, willing and able to arrange good, clean and clear, and of non criminal origin RMB to “Party A”, and provides his Banking details attached hereto as Appendix A.鉴于“乙方”已完全的充分的已证实的授权和法律责任已做好准备,愿意和能够提供真实的、干净的和洁净的，没有犯罪来源人民币给“甲方”,并提供附录 A 所附的银行座标NOW THEREFORE, In consideration of the mutual interests and covenants, the parties hereby confirm with full personal and corporate and legal responsibility, under penalty of perjury, and unconditionally agree to the following terms and conditions stipulated hereunder:因此现在考虑到双方的利益和盟约,双方在此确认充分的个人和公司合法法律责任,根据伪证处罚法律无条件的同意以下条款和条件规定如下:1. SPECIFICATION 概要“Party A” Currency : United States Dollar – Legal currency in the banking system of Hong Kong.“甲方”的货币 美元 – 在香港的银行系统的合法货币。

Party B” Currency : RMB –Legal currency in the banking system of China.“乙方”的货币 人民币–在中国的银行系统的合法货币Quantity : USD (1) Billion with Rollover and Extensions.数量 壹拾(10)亿美元可继续循环并延展Exchange Quantity : USD Ten (10) Billion.兑换数量 壹拾(10)亿美元Relating Expenses : As APPENDIX J from “Party A’s” account相关费用 如附录J, 由“甲 方”賬 戶 支 付..Consultant Fee : As APPENDIX J consultant Fee paid from “Party A’s” account.顾问费 如附录J, 由“甲 方”賬 戶 支 付。

Exchange Rate : The middle price of the Banking Exchange Rate between USD and RMBof the transaction day. 兑换率 按银行当天挂牌价以美元对人民币的中间价Process Location : HSBC, Hong Kong main office.作业位置 香港上海汇丰银行有限公司总行Payment : On a Bank to Bank basis.付款方式 以银行对银行的方式2. ATTESTATION 表述 1. “Party A” and “Party B” are entitled to enter into this Joint Venture Funding Agreement. “Party A” is able to provide USD to “Party B” and receives RMB payment from ” Party B”“甲方”和“乙方”有权签订资金合作协议书“甲方”是能够提供美元给“乙方”,并接收“乙方” 的人民币付款。

2. “Party A” has his bank account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office and “Party B” has his bank account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office.“甲方”在香港上海汇丰银行有限公司总行拥有银行账户；“乙方” 在香港上海汇丰银行有限公司总行拥有银行账户3. “Party A” transfers the funds to “Party B’s” account in XXXX Bank Limited, Hong Kong main office. And “Party B” transfers the funds to “Party A’s” account in The Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office.“甲方”把款汇入“乙方”在香港XXXX銀行有限公司总行的银行账户上,而“乙方”必须将款汇入到“甲方”在香港上海汇丰银行有限公司总行的银行账户上。

3. PAYMENT付款1) “Party A” makes a payment of USD Ten (1) Billion to “Party B’s” bank account.“甲方”付款壹拾(10)亿美元到“乙方的”账户上2) “Party B” makes payment of RMBcurrency which is equivalent to USD Ten (1) Billion to “Party A’s” bank account.“乙方”付款以等值壹拾(10)亿美元的人民币存入“甲方的”账户上4. PROCEDURES 程序1. “Party A” and “Party B” sign this Agreement face to face and/or electronically, the electronic signatures are deemed acceptable to both parties.双方签此合约可以以面对面或电子签方式;电子签方式双方是可确认接受的合约2. After agreement has been signed by both parties; “Party B” provides a Hong kong Dollars copy of the bank-transfer form in the amount equivalent to or exceeding Ten (1) Billion United States Dollars of Hongkong and Shanghai Banking Corporation Limited, Hong Kong main office, in favor of Ms Somrudee Boontanondha(Party A), Signed and Sealed by Party B’s Bank officer, But no passed by machine to “party A’s”。
