      1、标题要根据合同的性质来确定,如“购销合同”、“租赁合同”2、标题最好能和合同的性质保持一致,但这不是强制性要求认定合同的性质,主要还是看合同的内容,而非标题3、在实践中,一般可以认为“合同”、“协议”是同义词二、首部1、首部只要写明双方当事人的名称(姓名)及某方即可如:“甲方:小王乙方:小李”2、双方当事人的具体信息,放在最后的签章部分写明自然人的,主要写身份证号、住址、单位的,主要写法定代表人、授权签章人、住址、、营业执照号三、正文正文按如下顺序写:1、简单叙述合同目的和订立情况如:“为合作共赢,共同发展,甲乙双方经平等协商后达成以下合同”2、合同目的(即合同标的)这是很关键的部分,因为这里直接体现了合同的性质,而且当出现约定不明时,这也是解释的主要依据如:“甲方向乙方销售X型电视机200台”另外,这里也可以写明合同的期限3、合同的履行程序将合同的履行程序独立出来写,是为了简洁明了,就好像法学上将“程序法”和“实体法”分开一样,合同的履行程序就是“程序法”,双方权利义务等细节就是“实体法”4、双方的权利义务这里必须要写明数量、质量、价款或者报酬、履行期限、地点和方式如果双方还约定了其他权利义务,也应写明。

      5、违约责任违约责任应当明确,即对于什么情况算违约,应怎么处理另外,也可以对非根本性违约和根本性违约做出界定;可以就预期违约做出约定;也可以在这部分对先履行抗辩权、同时履行抗辩权和不安履行抗辩权做出约定6、争议的解决一般写:“合同履行过程中如发生争议,双方应友好、平等协商解决协商不成的,由X法院/X仲裁委员会裁判”这里要注意的是,如果约定管辖法院的话,一定要明确约定有管辖权的某一个法院管辖,而不能只说“有管辖权的法院”或“XX法院和XXX法院”7、合同的变更和解除主要写明合同通过什么程序、什么程序变更合同怎么解除8、关于合同本身的约定这里主要是写合同文本共几页,共几份,是否有附件,附件是否合同本身的组成部分,合同的成立和生效四、签章这部分是用来给当事人签章的一般自然人直接签字或按手印即可(最好不要只盖印章,因为印章容易被伪造),单位则需要盖公章最好有单位法定代表人或授权签章人的签字另外,如果签章的不是法定代表人,一定要查验签章人的授权文件合同一般包括以下条款:(一)当事人的名称或者姓名和住所;(二)标的;(三)数量;(。
