1. In cａse， Party C ｂreaches thｅ Ｆoreｉgn Tｒade　coｎtract that cｏuｌdn’t　ｄelivｅry tｈe ｇoｏds／paｙ ｔhｅ paｙmeｎｔ to Ｐarｔy Ａ， Party A hａs no ｏｂｌigａｔｉoｎ　to ｄｅlivery　ｔhe　goｏds/pay fｏr the paｙment to Ｐarty　Ｂ　ａccoｒｄｉｎg to　imporｔ/eｘport aｇenｃy aｇｒeemeｎt,　and　exempts the resｐonsibility　fｏｒ breach ｏｆ　cｏnｔract　aboｕｔ　ｄｅlayed/rｅfuｓed tｈe goods/paｙｍｅnt. 2.甲方对货品的质量和数量不承当任何责任如乙、丙方对货品质量和数量有任何异议，应自行双方协商解决，而无权依外贸合同向甲方追究任何违约责任2. Ｐarty　Ａ woｎ’t unｄertａke any　ｒesponsiｂｉlity fｏr the qｕality　anｄ quanｔity　of goｏds. If Party　B and C ｈas　anｙ　obｊectioｎ　ｔo tｈe qｕaliｔy and quantｉty oｆ goｏds, ｗho should ｎegoｔiatｅ ｅaｃh other, and ｓhaｌｌ　noｔ be entitled to invｅstigaｔｅ ａnｙ　ｌiabiｌｉty to Parｔy Ａ in aｃcordａnce wiｔh　the Foreｉgn　Traｄe　Contract.　ﻫ3.乙/丙方保证所交付给甲方的货品在产地、规品、数量等方面与《外贸合同》的规定严格一致;如有不符,乙方应承当所有法律责任并补偿甲方所有损失。

3.Paｒｔy Ｂ/Ｃ shｏｕlｄ eｎsuｒe that ｔｈe　delivery gｏｏｄｓ inｃｌudｉng the ｏｒigin, siｚe,　quａntitｙ keｅp　the same　ａｓ　ｔerms of ｔhe Foreigｎ Ｔｒaｄe Contraｃt． Oｔherｗisｅ， Parｔy B／Ｃ ｓｈａll bear alｌ leｇal　reｓpoｎsiｂiｌitｙ and coｍpeｎsate all　loss to　Pａrty A．4.甲方作为乙方《外贸合同》签订代理人，不对《外贸合同》的实际履行承当责任因乙方或丙方违约导致的损害责任由违约方承当,甲方并有权规定违约方承当给甲方导致的损害责任4.Ｐarｔy A　enｔrｕsｔed bｙ Parｔｙ Ｂ as aｇenｔ of Ｆoreｉgn Trａde Contract, shalｌ ｈave　no　liabiliｔｙ fｏｒ　ｔhｅ actuａl　perfoｒmanｃe oｆ the　Foreign Trade Cｏntｒaｃt.Thｅ daｍage　cａusｅd bｙ Pａrtｙ B oｒ C defａult　sｈall ｂe borｎe bｙ tｈe breaching Party, aｎd Party Ａ ｈａｓ tｈe　rｉghｔ to ｒeqｕiｒe the breａcｈing Parｔｙ to bｅar ｔhe liａbility of thｅ　damagｅ to the Ｐaｒty　A四、其她商定1.如本合同与《外贸合同》不符，以本合同的规定为准。
