2017版FIDIC合同体系介绍及与中国合同体系比较.docx

FIDIC2017版本EPC合同是继FIDIC2009版本EPC合同的最新修订版本，涵盖范围几乎包括项目全生命周期过程，使用非常方便熟悉掌握使用《FIDIC EPC设计、采购、施工/交钥匙合同条件》（英文书名《Conditions of Contract for EPC/Turnkey Projects》），是开展国际合同商务管理工作的一堂必修课从本书架构上看，该书实际上分为三个部分第一部分为通用条件（General Conditions）；第二部分是专用条件编写指南及附件:保函格式（Guidance for the Preparation of Particular Conditions and Annexes: Forms of Securi-ties）；第三部分为投标函、合同协议书和争端裁决/避免协议的格式（Forms of Letter of Tender, Contract Agree-ment and Dispute Adjudication/Avoidance Agreement）在本书的最前面是目录（content）、答谢（Acknowl-edgements）、注解（Notes）和四个典型情况的时间顺序分解表。

FIDIC2017年EPC合同条件明确下列三种情况不合适采用：如果没有足够的时间和资料来仔细审阅业主要求进行设计、风险评估和估算；如果施工中存在大量的地下工程或者投标人无法检查了解的工程或者区域；如果业主希望紧密关注或者管控承包商的工作或者审查大部分施工图纸FIDIC的官方语言确定为英语四个典型情况的时间顺序分解表分别为：设备设计施工合同主要事件的典型顺序（Typical Sequence of Principal Events During Contracts for Plant and Design-Build）；第14条设想的付款事项的典型顺序（Typical Sequence of Payment Events Envisaged in Clause 14）；第21条设想的争议事件的典型顺序（Typi-cal Sequence of Dispute Events Envisaged in Clause 21）；第3.5条下合同决定事件的典型顺序（Typical Sequence of Events in Agreement of Determination under Sub-Clause 3.5）。

FIDIC首次提出了专用条件起草的五项黄金原则（FIDIC Golden principles），以提醒用户在起草专用条件时慎重考虑，这五项原则是：合同所有参与方的职责、全力、义务、角色以及责任一般都在通用合同条件中默示，并适应项目的要求；专用条件的起草必须明确和清晰；专用条件不允许改变通用合同条件中风险与回报分配的平衡；合同中规定的各参与方履行义务的时间必须合理；所有正式的争端在提交仲裁之前必须提交DAAB取得临时性具有约束力的决定FIDIC强调，通用合同条件为合同双方提供了一个基准，而专用条件的起草和对通用合同条件的修改可视为在特定情境下通过双方的博弈对基准的偏离FIDIC给出的五项黄金原则，力图确保在专用条件起草过程中对通用条件的风险与责任分配原则以及各项规定不发生严重的偏离国外与国内项目合同文件比较研究1. 加纳一揽子公路与湘西文教卫PPP项目的比较（1）项目合同文本目录比较（见表1）（2）两项目合同条件的主要差异运营模式不同：前者为政府以铝土收入作为还款担保，资金来源于政府财政，前者仅承担融资和建设及移交；后者为特许经营+财政差额补贴，除承担融资和建设外，还负责运营和移交前期借款人不同：前者为出口卖方信贷；后者由政府和社会资本（本企业）联合出资，向银行贷款。

二者与业主签订的协议数不同，前者为三个协议，分别为EPC协议和补充协议及延期付款协议，后者包括特许经营协议、股东协议、施工总承包协议、政府与社会资本合作协议承包模式不同：前者由中国承包商独立承包和融资，后者由政府和企业共同组成的SPV公司负责本项目的投资、建设、运营维护和期满项目资产设施移交二者采用的总承包合同基本文本不同，前者为FIDIC1999版的EPC合同条款，后者为住房城乡建设部国家工商行政管理总局制定的2013版《建设工程施工合同（示范文本）》。
