5页供应商行为准则Code of Conduct for Suppliers本行为准则规定了为江苏常牵庞巴迪牵引系统有限公司(以下简称BCP)提供产品及服务的供应商应承担的基本责任BCP保留根据BCP合同项目的变化而对本行为准则进行合理修改的权利在此情形下,供应商应接受这些合理变更This Code of Conduct defines the basic requirements placed on Bombardier CPC Propulsion System Co., Ltd. (herein after called BCP) suppliers of goods and services concerning their responsibilities towards their stakeholders and the environment. BCP reserves the right to reasonably change the requirements of this Code of Conduct due to changes of the BCP Compliance Program. In such event, BCP expects the supplier to accept such reasonable changes.供应商在此承诺:The supplier declares herewith:一、 遵守法律及供应商行为准则1. Compliance with Legal and Code of Conduct For Suppliersn 了解并遵守所有适用法律和供应商行为准则的规定To comply with the laws of the applicable legal system(s) and code of conduct for suppliers.二、 禁止贪污贿赂2. Prohibition of Corruption and Briberyn 不容忍任何形式的贪污贿赂行为,也不从事任何形式的贪污贿赂行为,包括但不限于违反法律为影响决策而向任何政府官员支付任何款项或给予其它任何形式的利益;To tolerate no form of and not to engage in any form of corruption or bribery, including but not limited to any payment or any other form of benefit conferred on any government official for the purpose of influencing decision making in violation of law;n 禁止为了维持、获得业务或不正当权益直接或间接地向BCP员工和/或其亲属提供、约定提供贿赂或不当的便利,包括但不限于:To prohibit to provide, agree to, suggest bribery or improper convenience, directly or indirectly, to BCP’s staff or their relatives, in order to maintain, attain business or improper titles, including but not limited to:i. 礼品,包括但不限于现金、礼金、有价证券、支付凭证及贵重物品;Gifts, including but not limited to cash, cash gift, securities, payment vouchers and valuables;ii. 购置、提供通信工具、交通工具和高档办公用品等;Purchase or provide communication tools, vehicles or expensive office supplies;iii. 高消费的招待,包括但不限于度假、出国(出境)旅游,以及高尔夫球等活动或是可能妨碍公正的宴请;Any high-consumption entertainment, including but not limited to holiday, abroad (outbound) tourism, and golf, etc. or any dinner which may prevent justice ; iv. 安排工作,或支付应由自己或其亲属自付的各种费用,包括但不限于住宅装修、婚丧嫁娶、购物、学费;Arrange work or pay any fee for himself or his relatives which shall be paid by his own, including but not limited to decoration fee, wedding and funerals fee, shopping expense, tuition fee;v. 成比例的,或者正相关的利益联系,例如股份、回扣等Proportional relationship or any other positive benefit-based relationship, e.g. share, discount, etc.三、 禁止隐形代理3. Prohibition of Invisible Agencyn 任何第三方(因BCP与供应商之间的业务而成为关联分供应商的除外)不得因供应商与BCP的业务而从供应商处获得任何经济利益。
Any third party(excluding the related sub-supplier due to the business between BCP and the Supplier) shall not attain any economic benefit from the Supplier due to BCP’s business.n 供应商与BCP的任何业务,供应商不得通过任何第三方代理进行除非在供应商与BCP签订合同之前向BCP如实的披露了供应商与第三方的代理关系,并征得了BCP的书面同意To prohibit the Supplier to perform any business between BCP and the Supplier through any third party. Unless the Supplier has disclosed truthfully the relationship between the Supplier and the third party, and get written approval of BCP.四、 禁止雇用童工4. Prohibition of Child Laborn 遵守当地法律法规中有关最低就业年龄的规定,不得使用童工。
供应商不得雇用未满十五(15)周岁的童工;位于中国大陆的供应商不得雇佣16周岁以下的未成年人;或者在不违背ILO公约第138条规定的发展中国家例外的前提下,在这些国家不雇用未满十四(14)周岁的童工年龄低于18周岁的未成年人,不得从事危险工作,并因顾及其教育需求,限制其上夜班To comply with local laws and regulations concerning the minimum age for employment, and employ no child labor. Suppliers may employ no workers under the age of fifteen(15); no minors under the age of sixteen(16) in Chinese Mainland; or in those countries subject to the developing country exception of the ILO Convention 138, to employ no workers under the age of fourteen(14). As for the young people under the age of 18, they shall not engage in hazardous work, and shall limit their night shifts considering their educational requirements. 五、 尊重员工的基本人权5. Respect for the Basic Human Rights of Employeesn 为员工提供平等的机会和待遇,而不论其肤色、种族、国籍、社会背景、是否残疾、性取向、政治或宗教信仰、性别或年龄如何;To promote equal opportunities for and treatment of its employees irrespective of skin color, race, nationality, social background, disabilities, sexual orientation, political or religious conviction, sex or age;n 尊重员工的人格尊严、隐私及各项个人权利;To respect the personal dignity, privacy and rights of each individual;n 拒绝违背员工意愿雇用或安排其工作;To refuse to employ or make anyone work against his will;n 拒绝容忍以任何无法接受的方式对待员工,例如:精神虐待、性骚扰或性别歧视;To refuse to tolerate any unacceptable treatment of employees, such as mental cruelty, sexual harassment or discrimination;n 禁止性别的、强迫性、威胁性、污秽的或剥削性的手势、语言和身体接触等行为;To prohibit behavior including gestures, language and physical contact, that is sexual, coercive, threatening, abusive or exploitative;n 提供公平的报酬,并保证符合国家法定最低工资标准;To provide fair remuneration and to guarantee the applicable national statutory minimum wage;n 遵守法律所规定的最长工作时间的要求;To comply with the maximum number of working hours laid down in the applicable laws;n 认可员工依法自由结社的权利;不偏袒也不歧视员工组织或工会的成员。
To recognize, as far as legally possible, the right of free association of employees and to neither favor nor discriminate against member。
