2.8 Xxx shall, as recommended by WOFE, purchase or have available all standard and special tools reasonably available and required to support the repair and services of Products located within the Territory.在WOFE推荐下，Xxx应合理的购买或取得所有标准的或者特殊的工具，以适用和满足领域内的维修和产品服务2.9 Xxx shall not alter, modify, or repackage Products without WOFE’s prior written consent. Xxx shall notify WOFE promptly of any and all infringements, limitations, simulations, illegal uses, or misuses of the WOFE Marks, patents, and other intellectual property rights. Xxx shall forward to WOFE any inquires regarding the Products received from Customers located outside the Territory. Xxx应将领域内有关竞争活动、市场情况和发展、影响产品销售的当地法律的市场信息按时报告给WOFE。

Xxx应就任何或所有侵犯、限制、假冒、非法使用、误用WOFE的市场、专利或其他知识产权的行为立即通知WOFEXxx 应将领域外的顾客对于产品的询问提交给WOFE2.12 Xxx shall maintain in confidence and not disclose to any third party any Confidential Information. Xxx shall make no use of Confidential Information except to further the business interests of the Parties as contemplated by this Agreement, Xxx shall not use the Confidential Information to the detriment of WOFE or STERIS Corporation under any circumstances. All Confidential Information is the sole and exclusive property of WOFE. Xxx will return to WOFE all Confidential Information upon termination of this Agreement. Xxx’s obligations with respect to the disclosure and use of Confidential Information shall survive the termination or expiration of this Agreement. Xxx 应对保密信息保密并且不得将任何保密信息泄露给任何第三方。

除促进双方根据本协议预期可得的商业利益外，Xxx不得将保密信息用作其他用途任何情况下，Xxx均不得利用保密信息损害WOFE或STERIS公司的利益所有保密信息都是WOFE单独的、排他的财产本协议终止后，Xxx应将所有保密信息返还给WOFEXxx披露和使用保密信息的义务在本协议终止后依然有效2.13Xxx shall not (ⅰ)attempt to obtain title to the WOFE Marks or other confusingly similar marks, or / (ⅱ)use the WOFE Marks or any combination of words containing the WOFE Marks or other confusingly similar marks as part of its firm, corporate, or business \name either during the term of this Agreement or thereafter. Xxx shall not use the WOFE Marks in any way except in connection with its purchase and resale or the Products in the Territory. Any WOFE Marks used by Xxx shall remain the exclusive property of WOFE and any such use shall inure to the benefit of WOFE. At the conclusion of this Agreement, Xxx shall promptly assign to WOFE (without the necessity of a request from WOFE) all rights to the WOFE Marks acquired by Xxx. WOFE acknowledges that Xxx has in its corporate name the common words of ‘Xxx Pharmaceutical’. Notwithstanding anything herein provided, nothing in this Agreement shall prevent Xxx from using its corporate name or any part thereof ,and any intellectual property relating thereto shall remain the exclusive property of Xxx. 不论在本协议期间或者之后， Xxx不得1）试图获得WOFE的商标或者其他容易混淆的近似商标的权利；或2）使用WOFE的商标或者WOFE商标中包含的文字的组合或者其他容易混淆的近似商标作为他公司、企业、商业名称的一部分。

除在领域内购买、转售产品外，Xxx不得以任何方式使用WOFE商标任何Xxx使用的WOFE商标，仍属于WOFE的排他财产，且应有助于WOFE的利益当本协议终止时Xxx 应立即将所有其获得的对于WOFE商标的权利转让给WOFE，即便WOFE无此要求WOFE承认Xxx的公司名称中有通用单词“Xxx制药”尽管有本条的规定，本协议不妨碍Xxx使用其全部或任何一部份公司名称并且任何与其相关的知识产权仍属于Xxx排他财产2.14 Xxx shall have in its employ at least two (2) full time salespersons devoted solely to the sales of the Products in the Territory. Xxx shall cause the Service Representative to have in its employ at least two (2) full time servicepersons devoted solely to the service of the Products in the Territory. Xxx应至少聘请两名全职销售人员完全从事领域内产品的销售。
